Services
Formwell provides design and development services including, but not limited to, brand identity design, website design and development, investor materials, pitch decks, and related creative services for commercial real estate clients.
The specific scope, deliverables, timeline, and fees for any project will be outlined in a separate Client Services Agreement or Statement of Work provided prior to project commencement.
Intellectual Property
Website Content: All content on formwell.studio, including text, graphics, logos, images, and software, is the property of Formwell and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our express written permission.
Client Work: Ownership of deliverables created for clients will be specified in the applicable Client Services Agreement. Generally, upon full payment, clients receive ownership of final approved deliverables, while Formwell retains ownership of preliminary concepts, unused designs, and the right to display work in our portfolio unless otherwise agreed.
Portfolio Rights: Unless explicitly prohibited in writing, Formwell reserves the right to display completed client work in our portfolio, website, social media, and marketing materials.
Client Responsibilities
When engaging our services, you agree to provide timely feedback and approvals as outlined in your project agreement, supply accurate information, content, and materials needed for the project, ensure you have the rights to any materials you provide us, and make payments according to the agreed schedule.
Paymeny Terms
Specific payment terms, including deposits, milestone payments, and final payment schedules, will be outlined in your Client Services Agreement. General terms include deposits being non-refundable, invoices being due within 15 days unless otherwise specified, and late payments potentially incurring additional fees or project delays.
Limited Liability
To the fullest extent permitted by law, Formwell shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our website or services.
Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
Disclaimer of Warranties
Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our website will be uninterrupted, secure, or error-free.
While we strive to deliver high-quality design work, we do not guarantee specific business results, such as increased sales, investor interest, or market performance, from the use of our deliverables.
Termination
Either party may terminate a project engagement as outlined in the applicable Client Services Agreement. Upon termination, you remain responsible for payment of all work completed up to the termination date.
We reserve the right to refuse service to anyone for any reason at any time.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved in the courts located in San Francisco County, California.
Change of Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after any changes constitutes acceptance of the new Terms.
